Risk Disclaimer: The use of blockchain technology and cryptocurrency assets carries significant risks, including the risk of losing the entire investment value in these assets. These risks arise from the novel nature of the technology, lack of regulatory clarity, risks from network attacks, significant market volatility, and information imbalances in the cryptocurrency industry. It is strongly recommended that users avoid using funds they cannot afford to lose when purchasing cryptocurrency assets. Furthermore, we strongly encourage users to seek financial and legal advice regarding the use of our services and the handling of cryptocurrency assets.

IDO Offering: Openpad AI has introduced a unique method of fundraising with a rewarding approach, involving the sale of Utility Tokens, called "Initial Dex Offering" or "IDO." The main goal of IDO is to support innovative entrepreneurs (referred to as "Projects") in raising capital and empowering stakeholders (referred to as "Participants") to shape the direction of the Projects they engage with.

To participate in IDO sales, Participants need to allocate and lock a certain amount of OPAD Tokens in a smart contract as instructed on the website. If the participant's wallet has been automatically selected, they have the ability to purchase IDO Tokens related to a specific IDO within a specified period determined on the website. Failure to do so within the specified time frame will result in the loss of the right to purchase IDO Tokens.

In the context of an IDO, the Purchase Price will be what Participants pay to the Project in stablecoin, specifically USDC or USDT, as instructed on the website. The trading of IDO Tokens will be governed by a smart contract and will follow a specific locking schedule described on the website.

By accepting this Agreement and using Openpad AI, Participants grant Openpad AI the authority to lock their Tokens if required. According to the locking protocols, Openpad AI locks participants' tokens for an unspecified period, making them invisible in the participant's wallet and non-transferable, withdrawable, or sellable unless the Participant chooses to withdraw OPAD Tokens. Withdrawals may incur fees and additional charges.

The Project will use the profits from the IDO to fulfill the mission, vision, business strategy, and goals it has communicated to the community through the whitepaper, website, social media, and other communication channels, including but not limited to public statements by executives, officials, and team members.

In addition to participating in IDO, Participants have the option to purchase IDO Tokens through a public issuance known as the "Public Round," which does not require Locking OPAD Tokens. Openpad AI reserves the full right to decide when the Public Round will be available and will announce all relevant information on the website or other communication channels of Openpad AI. The terms regarding IDO in this Agreement also apply to the Public Round unless there is inconsistency due to context or the subject matter in this paragraph.

Wallet Locking: As a supplementary service to the main services provided on the Platform, the project will have the ability to transfer cryptocurrency assets into an Operative Wallet. Users will be able to place orders through the Website to transfer their cryptocurrency assets to wallets connected to the Website.

In the case of a user having an Operative Wallet, all instructions related to the use of the Operative Wallet will be transmitted directly through the Website. Users understand that Operative Wallets are based on a smart contract, and risks need to be considered before locking the wallet. The Operative Wallet feature is a straightforward contract that allows users to access various Lock Programs.

Users can, at any time based on the lock conditions, withdraw cryptocurrency assets from the Operative Wallet related to a specific cryptocurrency asset. Openpad AI will never be responsible for any loss of cryptocurrency assets or their value arising from the conversion of cryptocurrency assets.

User Account: Users of Openpad AI, referred to as "Participants," are the autonomous decision-makers to engage in one or more IDOs and/or public rounds. Before making this decision, Participants must consider all risks associated with cryptographic digital tokens, such as regulatory and cybersecurity risks. While Participants may rely on information published on the website in part, they acknowledge, agree, and understand that the content on the website is not investment advice, financial advice, trading advice, or any other form of advice. Therefore, Participants cannot consider any content on the website as such. Participants are fully responsible for evaluating the benefits and risks associated with using any information or content on the website before making any decisions based on that information. Participants are aware of the highly volatile nature of the cryptocurrency market and should recognize the real possibility of losing all investments in the cryptocurrency market. Therefore, Participants should avoid using funds they cannot afford to lose when purchasing various cryptocurrencies and digital tokens.

Participants understand and acknowledge that Openpad AI has no supervision, guidance, or control over any Projects. Openpad AI does not guarantee the truthfulness, accuracy, completeness, or timeliness of any information that Projects provide to Participants through the website. Therefore, Participants must conduct their own comprehensive evaluation of the Project before purchasing IDO Tokens when participating in an IDO.

Participants explicitly agree that they purchase and receive IDO Tokens at their own risk and that the website and IDO Tokens are provided "as is" with no warranties, whether express or implied. Participants understand and agree that the process of purchasing and any other transactions related to IDO Tokens carry significant risks. Therefore, the purchase of IDO Tokens should be carried out only by Participants experienced with cryptographic tokens and blockchain-based software with functional knowledge of the storage and transmission mechanisms of other cryptographic tokens.

When purchasing IDO Tokens, Participants acknowledge and accept the inherent risks in such transactions. Specifically, Participants confirm full understanding and acceptance of the following: IDO is not related to the issuance of securities, registered or unregistered, or any other form of investment certificate. IDO Tokens are cryptographic tokens existing on one or more blockchains and are only intended for use to access and interact with the digital services and applications provided by the related Project. IDO Tokens are non-refundable, not related to financial profits, or guaranteed by any fixed assets. IDO Tokens do not represent any type of investment contract for purposes and in fact. The purchase of IDO Tokens is not an investment or a collective investment scheme, and Participants should not expect any payment, refund, profit, or income from participating in an IDO or public round.

After purchasing IDO Tokens, the payment made will be considered non-refundable. Therefore, Participants are encouraged to carefully consider all risk factors, including but not limited to market volatility, cryptocurrency market risks, system failure risks, source code risks, errors, corruption risks, data loss, loss of passwords, or private keys, inaccurate transaction execution, and hacking. These risks may lead to the loss of all IDO Tokens.

Blockchain technology opens up new forms of interaction, and there may be countries applying current regulations or introducing new regulations for applications based on blockchain technology, which may contradict the current configuration of the Operative System and/or IDO and may result in significant modifications or loss of IDO Tokens.

Participants acknowledge that they understand all the risks discussed above and recognize that they use Openpad AI at their own risk. Participants understand and agree that Openpad AI will not be responsible for any damages or losses that Participants may incur due to the occurrence of any previously mentioned risks. Participants release Openpad AI from any liability for any damages and/or losses that may arise, directly or indirectly, from the use of the Openpad AI digital ecosystem.

This end-user agreement (this agreement) should be read carefully by you (the user or you) before using the services or products of Openpad AI. Note that this agreement constitutes a legally binding agreement between you and Openpad AI (referred to as "Openpad AI," "we," or "us"), the owner and operator of the website on the Internet and the services on the Openpad community page. You agree to comply with all the terms set forth in this agreement when you are provided the "I Agree" button and click on it.

Commitment and Your Warranties:

There is a risk of loss of digital currency and other valuable assets when using the Service, and Openpad AI is not responsible for any such losses.

Your use of the Service is solely at your choice, decision, and risk.

You are fully responsible for any taxes that may be due on the cryptocurrency traded or transacted through the use of the Service.

Telecommunications networks, blockchain networks (such as Polkadot and Ethereum), and Internet access services necessary for you to access and use the Service are beyond the control of Openpad AI, and Openpad AI is not responsible for any interruptions, delays, capacity limitations, or other deficiencies affecting them.

You (i) are 18 years of age or older, (ii) have reached the age of majority as per local legal requirements, (iii) are accessing the Service from an area where such action is legal, (iv) are not a Politically Exposed Person (PEP) and not on any U.S. or European Union sanctions or financial terrorism watchlists, and (v) will promptly notify Openpad AI if you are on any of these lists or change your place of residence to a restricted area.

You acknowledge that if you discover a bug or an issue that could lead to the exploitation of the Service or loss of funds from Openpad AI, you are obligated to promptly report it to Openpad AI through the Openpad community channels. Furthermore, any attempt by you to leverage a discovered bug or issue for unlawful financial gain is prohibited and illegal under this Agreement. Openpad AI reserves the right to pursue full legal responsibility for anyone exploiting or attempting to exploit the Service unlawfully. Benefits or flaws must be disclosed responsibly and seriously through Openpad's community channels and not through any other organization.

Disclaimer:

Openpad AI disclaims all and any warranties, whether express or implied, related to the Service it provides to you "as is," and we provide no warranty or representation regarding the quality, suitability for a specific purpose, completeness, or accuracy. Despite any efforts by Openpad AI, Openpad AI does not guarantee that the Service will be uninterrupted, timely, or error-free, or that defects will be corrected.

Limitations of Rights / Service Terms:

You agree to the rules of the Service provided and described on the Openpad.io website. Openpad AI retains all authority concerning the issuance, maintenance, and termination of the Service. Decisions of the Openpad AI Administration regarding any use of the Service or dispute resolution are final and not open for review or appeal.

Prohibited Uses

Personal Use:

The Service is intended solely for the personal use of the User. Users are only allowed to use the Service for personal purposes and may not create multiple accounts, including for collusion and/or abuse of the service.

Exploitation & Bugs:

The Service is provided "as is," and any form of exploiting the Service or flaws in the program logic and/or source code (bugs) is considered a Prohibited Use and a serious violation of this Agreement. Any funds that users may misuse under this provision will be deemed void and immediately become the property of Openpad AI, without limitation.

Restricted Regions:

Individuals residing in or citizens of the United States, North Korea, Iran, Venezuela, or any region where the use of the Service is prohibited ("Restricted Regions") are not allowed to use the Service. To avoid confusion, restrictions on the use of the Service from Restricted Regions apply equivalently to individuals residing in and citizens of other countries while in Restricted Regions. Any attempt to circumvent the restrictions on the use of those in Restricted Regions or Restricted Regions is a violation of this Agreement. Any attempt to circumvent includes, but is not limited to, actions that modify the information Openpad AI uses to determine your location and provide misleading or deceptive information to Openpad AI about your location or place of residence.

All funds (including cryptocurrencies) of individuals in Restricted Regions on the Service are VOID and may be confiscated or returned to the individual at the discretion of Openpad AI.

Violation:

"If the User breaches any or all of the terms contained herein, Openpad AI reserves the right to take action it deems appropriate, including terminating this Agreement or any other existing agreements with the User and/or taking legal action against the User. You agree to indemnify, defend, and hold Openpad AI and its shareholders, directors, agents, and employees harmless from any complaints, demands, liabilities, damages, losses, costs, and various expenses, including attorney's fees and any other costs, regardless of how incurred, how incurred, caused by whom, caused how, arising from: (i) your violation of this Agreement, in whole or in part; (ii) your violation of any laws or any rights of any third party; and (iii) your use of the Service."

Limitation and Liability:

"In no event, including negligence, shall Openpad AI be liable for any special, incidental, direct, indirect, or consequential damages (including, but not limited to, damages for loss of business profits, business interruption, loss of business information, or any other business loss) arising from the use (or misuse) of the Service, even if Openpad AI has been advised in advance of the possibility of such damages. Nothing in this Agreement shall exclude or limit Openpad AI's liability for death or personal injury arising from its negligence."

Dispute:

"If the User wishes to file a complaint, please contact Openpad AI's customer service team on Openpad's community pages. If any dispute is not resolved to your satisfaction, you may pursue remedies in the jurisdiction of the regulations below."

Modification:

"Openpad AI reserves the right to update or modify this Agreement or any part of it at any time or change the Service without notice, and you will be bound by the amended Agreement after posting. Therefore, we encourage you to check the terms and conditions contained in the version of the Agreement in effect at that time. Your continued use of the Service will be deemed as your acceptance of any amendments to the Agreement."

Severability:

"If a provision of this Agreement becomes illegal, invalid, or unenforceable in any jurisdiction, that shall not affect the legality, validity, or enforceability of any other provision in that jurisdiction or the legality, validity, or enforceability of any other provision in any other jurisdiction."

Assignment:

"Openpad AI reserves the right to transfer, assign, pledge, sublicense, or otherwise deal with this Agreement, or any of its rights and obligations under this Agreement, to any third party. Users may not transfer any of their rights or obligations under this Agreement."

Miscellaneous:

"No waiver by Openpad AI of any violation of any term of this Agreement (including Openpad AI's failure to insist on the serious and accurate performance of or compliance with any term of this Agreement) shall be construed as a waiver of any subsequent violation of that term or any other term of this Agreement. No provision of this Agreement shall create or grant any rights or benefits zugun to any third party that is not a party to this Agreement."
